Trading Terms & Conditions.

1. Acceptance of Terms

By engaging Designsense Website Design & Marketing (“we”, “us”, “our”) for any website design, development, marketing, hosting, SEO, or other services, the client (“you”) agrees to these Terms and Conditions.

2. Quotes & Validity

All quotes are valid for 60 days from the date of issue.

Prices are reviewed and adjusted annually to reflect industry changes.

If a project has not commenced within 12 months of the deposit payment, a reassessment and new quote will be required.

3. Deposits & Payment Terms

A 50% deposit is required before work begins.

The balance is due upon project completion or within 31 days of the initial deposit, whichever occurs first.

Late payments may result in project suspension or additional fees.

4. Project Timelines & Client Responsibilities

Clients must provide necessary content (text, images, branding materials) within the agreed timeframe.

Delays in providing content may lead to rescheduling and additional fees.

If a project remains inactive for 12 months, it will be considered abandoned, and a new quote will be required.

5. Project Abandonment & Reassessment

If no communication or progress occurs for 12 months or more, the original pricing is no longer applicable, and the project requires a new agreement and updated quote.

6. Refund Policy

Deposits are non-refundable as they cover initial work, planning, and resources.

If a client abandons the project for 12 months, any remaining balance from the deposit is forfeited.

If we are unable to complete the project, a partial refund may be considered at our discretion.

7. Additional Expenses & Revisions

Third-party costs (e.g., stock images, software licenses) are billed separately.

Additional features or revisions beyond the original scope may incur extra charges.

8. Browser & Technology Compatibility

We ensure compatibility with modern browsers (Chrome, Firefox, Edge, Safari) but do not guarantee support for outdated browsers.

9. Termination & Cancellations

Clients may terminate a project at any time in writing.

If work has commenced, the deposit is non-refundable, and additional completed work will be invoiced.

We reserve the right to terminate a project if deadlines are not met, unreasonable requests are made, or terms are breached.

10. Liability & Indemnity

We are not liable for any loss of business, revenue, or reputation due to website downtime, security breaches, or third-party issues.

11. Governing Law

These Terms and Conditions are governed by the laws of Victoria, Australia. Any disputes shall be resolved in Victorian courts.

12. Intellectual Property & Ownership

The website, design, code, and content remain our property until full payment is received.

Once full payment is made, ownership of the website is transferred to the client except for third-party software, plugins, or proprietary frameworks, which remain under their respective licenses.

Clients must ensure they have the legal right to use any images, text, or other materials they provide for the project. We are not responsible for any copyright infringements caused by client-supplied content.

13. Project Scope & Revisions

The project includes up to 2 rounds of revisions unless otherwise specified. Additional revisions or scope changes will incur extra charges.

Any new features requested after project approval will be quoted separately.

Once the website is approved and goes live, any further modifications will be considered a separate project and charged accordingly.

14. Website Hosting & Domain Services

If we provide hosting, the client must follow our acceptable use policy. We reserve the right to suspend or terminate hosting for security violations, non-payment, or abusive behavior.

If a client chooses their own hosting provider, we are not responsible for server downtime, security breaches, or performance issues.

Domain registration and renewal are the client’s responsibility, and we are not liable for loss of domains due to non-renewal.

15. Website Security & Maintenance

If we provide website security updates & maintenance, clients must adhere to their maintenance contract.

If the client declines maintenance services, we are not responsible for hacked websites, security breaches, or compatibility issues caused by outdated software.

We recommend that clients update passwords regularly and implement security measures such as SSL certificates, strong passwords, and two-factor authentication.

16. SEO & Digital Marketing Limitations

We do not guarantee specific Google rankings, traffic increases, or SEO results, as search engine algorithms change frequently.

SEO services are provided as a best-effort service, and results depend on industry competition, website content, and external factors.

Clients must provide original, high-quality content to achieve the best SEO outcomes.

17. Payment Defaults & Late Fees

If payment is not received within 14 days of the due date, we reserve the right to:

Suspend all work on the project until payment is made.

Charge a late fee of 5% per month on outstanding balances.

Take down the website (if hosted with us) until payment is received.

Engage a debt collection agency, with all recovery costs payable by the client.

In case of non-payment, legal action may be pursued, and any costs associated with legal proceedings will be charged to the client.

18. Project Delays & Client Responsibilities

Clients must provide timely feedback, content, and approvals to keep the project on schedule.

If a client fails to provide required content within 30 days, we may:

Put the project on hold.

Charge a re-engagement fee when resuming the project.

Cancel the project with no refund if inactive for 6+ months.
